Terms of Service
These Terms of Service ("Terms") govern the use of the AmeCab application, website, and related services (the "Platform"), developed and licensed by Auranetics ("Auranetics", "we", "us"), a software and app development company based in Pawtucket, Rhode Island, USA. By downloading, registering, or using AmeCab, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use AmeCab.
1. Nature of the Service
AmeCab is a software tool that allows an independent driver or transportation company ("Driver") to connect with riders the Driver personally invites to use the app through a code. Auranetics provides only the technology. Auranetics is not a transportation carrier, taxi company, transportation network company (TNC), or common carrier; it does not provide, arrange, dispatch, supervise, or control transportation services; it does not employ or contract Drivers, own or inspect vehicles, or set fares; it does not match riders with unfamiliar drivers; and it is not a party to any agreement between a rider and a Driver. Any transportation service is provided solely by the Driver, under the Driver's own name, license, and responsibility.
2. Accounts and Eligibility
You must be at least 18 years old to create an account or use AmeCab. You agree to provide accurate information, keep it up to date, keep your login credentials confidential, and accept responsibility for all activity under your account. We may suspend or close accounts that provide false information or violate these Terms.
3. Driver Responsibility
Each Driver using AmeCab operates as an independent business and is solely responsible for complying with every law that applies to transporting passengers for compensation in their city, state, or country. This includes, without limitation: holding a valid driver's license and any commercial, chauffeur, taxi, livery, or for-hire permit required; maintaining vehicle insurance that covers passengers (including commercial or livery coverage where required) and keeping the vehicle registered, inspected, and in safe condition; obtaining every business license, municipal permit, or authorization required; complying with traffic, safety, consumer-protection, anti-discrimination, and tax laws, and paying any taxes owed on earnings; setting rates in accordance with applicable law; and never operating a vehicle while impaired, distracted, or fatigued. Auranetics does not perform background checks, insurance verification, or licensing review on Drivers. If you cannot meet these requirements, you may not use AmeCab as a Driver. The Driver is solely liable for any accident, injury, damage, fine, penalty, claim, or loss arising from the transportation they provide.
4. Rider Responsibility
If you use AmeCab as a rider, you understand that the Driver you connect with is an independent provider chosen by you, typically because you already know them or received their code directly. You agree to use your own judgment when deciding whether to ride with a Driver, provide accurate pickup and destination information, pay the agreed fare directly to the Driver, behave respectfully and follow the Driver's reasonable safety instructions, and not request rides for illegal purposes or transport prohibited items. Auranetics is not responsible for the availability, quality, safety, timeliness, or legality of any ride, or for the acts or omissions of any Driver.
5. No Compliance Guarantee and No Verification
Because AmeCab connects people who typically already know each other, the Platform does not perform background checks, vehicle inspections, insurance verification, or identity verification. Auranetics makes no representation, warranty, or guarantee regarding any Driver's or rider's legal compliance, conduct, or safety. It is the sole responsibility of each user — Driver and rider alike — to confirm the requirements applicable to their use of the app before offering or accepting paid transportation. You use the Platform, and ride or drive with other users, entirely at your own risk. In an emergency, contact local emergency services first.
6. Payments Between Parties
AmeCab does not process, collect, hold, or transfer fare payments. All payments for rides are agreed upon and settled directly between rider and Driver using the method they choose (for example, cash or Zelle). The fare shown in the app is an estimate calculated from distance and the rate the Driver has configured; the final amount is a matter between rider and Driver. Auranetics takes no commission on rides. Any subscription or licensing fee owed to Auranetics for use of the Platform, now or in the future, is separate from ride payments and follows AmeCab's pricing in effect at any given time.
7. Prohibited Use and Account Suspension
You may not use AmeCab to break any law or regulation or facilitate illegal activity; harass, threaten, discriminate against, defraud, or harm any person; impersonate another person or misrepresent your identity, vehicle, or qualifications; share, sell, or misuse another user's personal information obtained through the Platform; interfere with, reverse-engineer, scrape, overload, or attempt to gain unauthorized access to the Platform or its data; or create multiple or fake accounts. We may suspend or permanently terminate any account, with or without notice, if we believe it has been used in violation of these Terms, poses a risk to other users, or exposes Auranetics to legal liability. Any misuse of the Platform is the sole responsibility of the user who commits it, and Auranetics may cooperate with law enforcement where appropriate.
8. Disclaimer of Warranties
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. AURANETICS DOES NOT GUARANTEE THAT THE PLATFORM WILL BE AVAILABLE AT ALL TIMES, THAT LOCATION OR ROUTING INFORMATION WILL BE ACCURATE, OR THE RELIABILITY, SAFETY, TIMELINESS, QUALITY, OR LEGALITY OF ANY TRANSPORTATION SERVICE OBTAINED THROUGH THE PLATFORM.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURANETICS AND ITS OWNERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY RIDE ARRANGED THROUGH IT — INCLUDING ACCIDENTS, PERSONAL INJURY, DEATH, PROPERTY DAMAGE, PAYMENT DISPUTES, OR ANY ACT OR OMISSION OF A DRIVER, RIDER, OR THIRD PARTY — EVEN IF AURANETICS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL AURANETICS' TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID AURANETICS FOR USE OF THE PLATFORM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (B) FIFTY U.S. DOLLARS (US$50). Where the law does not allow certain limitations, our liability is limited to the fullest extent the law permits.
10. Indemnification
You agree to defend, indemnify, and hold harmless Auranetics and its owners, employees, and contractors from and against any claims, demands, damages, losses, liabilities, fines, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) any ride you provide or receive; (c) your violation of these Terms or of any law, regulation, or permit requirement; (d) your lack of, or lapse in, any required license, insurance, or authorization; or (e) any injury, death, or damage caused by you or your vehicle.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Rhode Island, USA, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Platform that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Rhode Island, and you consent to their jurisdiction. Before filing any claim, you agree to contact us and attempt in good faith to resolve the matter for at least thirty (30) days. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect; our failure to enforce any provision is not a waiver of it.
12. Acceptance and Changes to These Terms
By using AmeCab, each Driver confirms they understand and accept full responsibility for the legality of the transportation service they provide, and each user releases Auranetics from any liability arising from that activity. We may update these Terms from time to time; when we do, we will update the date at the top of this page and, for significant changes, notify users through the app or by email. Continued use of AmeCab after changes are posted constitutes acceptance of the updated Terms.
